The Trademark Dilution Revision Act Of 2006 And Your Online Business

Creating the right trademark that distinguishes your product or service from others is the key to a successful business both online and off. However, one recent legislative enactment is worthy of note, as it might influence your decision in choosing the next name or graphic for your online business.

Like its predecessor, the Federal Trademark Dilution Revision Act of 2006 (“Act”), signed into law in mid-October by President Bush, provides remedies for owners of “famous” trademarks (e.g. trademarks that are widely recognized by the general consuming public in the U.S. as a designation of source of goods or services of the trademark owner). Plaintiffs can file an action for dilution and obtain injunctive relief by showing their trademark has been “diluted” by the unauthorized use of another.

The Act provides for the cause of action known as “dilution.” Dilution is a relatively new addition to trademark law that allows a plaintiff to recover from another’s unauthorized use of his trademark where such use degraded or diminished the uniqueness and/or distinctiveness of his famous trademark.

Usually dilution is referenced together with the concepts of blurring and tarnishment. The revised Act specifically cites “dilution by blurring” and “dilution by tarnishment” as new causes of action in themselves. In all its forms lies the dangerous misperception that dilution claims require a showing of consumer confusion. Dilution claims, including blurring and tarnishment, require no showing or likelihood of confusion.

The revised Act is especially relevant to the online business owner in the initial stages of choosing a trademark name or graphic. Under the new cause of action for “dilution by blurring” you may run into problems simply by choosing a trademark that is similar to a famous trademark that causes the famous mark to lose its distinctiveness. Regardless if you adopted your trademark in good faith with no intention of piggy-backing off of the goodwill of a famous name brand, you may be sued for dilution by blurring. Similarly, under the new cause of action for “dilution by tarnishment” you may encounter problems by choosing a name similar to a famous brand if your use causes the famous trademark to suffer loss to its reputation.

It is particularly important to note that the new causes of action for dilution, dilution by blurring and dilution by tarnishment apply a “likelihood” of dilution rather than an actual dilution standard. This means that a plaintiff need only allege that your use is likely to cause or may potentially cause damage to their reputation or to the distinctiveness of their trademark. This new standard wields great power to owners of famous trademarks and could prove potentially lethal to the unsavvy online business owner or entrepreneur.

However, this new power is not absolute and will likely have little effect on comparative marketing and advertising both online and off. Under the revised Act, it is not actionable to compare your goods with that of a famous brand. It is also not actionable to parody a famous brand or trademarked product. For online marketers, this is important, as the Act preserved the traditional free-market idea of comparative advertising. Thankfully Congress recognized and appreciated the benefits of comparative advertising, maintaining its integrity in the revised Act.

From the recent Google decision and this revised Act by Congress, one can glean that although the strings are drawing tighter around the ever-expanding World Wide Web, it remains open to free-market competition and entrepeneurism. However, as trademark law evolves through judicial opinions and legislative enactments, it is always the best advice to consult an experienced intellectual property attorney before setting your branded product or service out into the world through the ether or otherwise.

Don’t get Scammed by Online Business Reviews

Are you just starting your new online business empire?

Well I was just like you not long ago, slaving away at my PC trying to find the best strategies for online business success. Throughout this period I spent heaps of my hard earned cash on information products which were meant to bring me instant riches (or so it was claimed). After wasting money on products which didn’t deliver on their promises and unscrupulous webmasters not living up to the money back guarantee, I thought a change of tack was necessary.

Instead of reading the information products marketing pages, I thought I would be smart and try and get some independent third party advice from product review sites. As I was a complete novice, I thought, there had to be people on the web who had been through this search for good products and would give honest product reviews. I was wrong!

I bought products which had great reviews on these ‘independent’ business review sites. However I was still getting stung by inferior products which didn’t deliver. This is when I asked myself the question. Why is it so hard to find honest, independent product review information?

I know I was a bit slow on the uptake (actually a mentally challenged monkey, would have caught on quicker than what I did). However that is when I started reading about affiliate programs.

The light bulb was turned on in my brain (a true eureka moment) and that is when I realised, the review sites were affiliates of the products they were selling. This meant that if I bought a product through a link on the business review sites, the review site received a percentage (generally over 50 %!) of the sale. Not a bad deal really, considering all the hard work is done by the product creator.

I smelt a rat and after further investigation I found out that most of the reviews aren’t reviews at all. They were merely marketing advertisements written by the products creators and cut and paste onto the business review sites. What a scam! None of the review sites told me about their ulterior motive and to be honest I was very annoyed especially after investing so much of my money and time.

This is when I thought, why not start my own website which gives honest reviews of information products, written by someone other than the product’s creators (i.e. me)? So I did. I don’t want you to get scammed and waste your money like I did. There needs to be more honesty, integrity and business transparency on the web.

It was economical, non-polluting, manoeuvrable in city traffic and easy to park. On the downside, though, the car was slow, of restricted range and looked downright dangerous alongside thundering conventional traffic. Worst of all perhaps, it exposed the user not just to the elements and apparent danger, but to widespread and immediate ridicule. The public took one look; said thanks but no thanks, and the project was dead.

For all his undoubted inventive genius, you see, Sinclair had neglected one of the fundamental rules of all business success: - research your market!

Problem is, though, that this inviolable rule can be tough in the observance for the eager new starter who’s just bursting with enthusiasm to get a product online and earning some money. Do you want to start in business by carefully researching a number of different niche markets before going to all the trouble and expense of producing a precisely tailored e-book or piece of software to meet its needs? And once you have recouped the cost of your reseller’s license, which will seldom take more than a handful of sales, you are into the zone of pure profit, retaining all further income for your own.

If this sounds attractive, it is! The profit potential of this kind of business is truly astronomical, and increasing all the time as more and more customers come online around the world.

But there is a catch, however. None of the above significant advantages of using resell rights remove the need to research your market. Before buying your licence you still need to pick a product that sells, and you can’t do this by guesswork, by selecting a product that you happen to like, or a niche in which you have an existing interest (although it does help to have a passion for the one you eventually choose). To make money you must research the market and learn what customers want and need to buy. Doing so will allow you to obtain the resell rights to a product that will be in high demand, and which will bring you correspondingly high sales and profits.

Luckily this is not at all difficult do, although you will need to set aside a little time. If you balk at this, just remember that once you have your hot-selling product online you’re well on the way to a lifestyle that the vast majority of people will only ever dream of.

The buyer meets with management and inspects their facility. If everything is acceptable, they present their offer, their professionals prepare the paperwork, set a closing date for the transaction and the buyer and seller tell the escrow company to proceed with the closing and your Finder’s Fee check is mailed to you or your fee is wired to you at the time of the closing of their transaction.

Does it really work?

We cannot make any earnings claims to you because success is up to an individuals effort, discipline and capabilities but many of the people we know in the M&A matchmaker business earn between $500,000 to over $3 million dollars each year. Again that does not mean that you will earn this much, or anything at all, since it all depends on your motivation, work habits and follow-up. Also keep in mind that this is not a “get rich quick” business, it takes time and effort on your part just like it does with any ‘real’ business. This business takes research on your part to find the right seller and contact them to see if they are interested, for the business to be presented to buyers the seller matches to, for the lawyers to prepare the 'buy-sell agreements' and for escrow to close before you get your check.
